Senior Counsel – Real Estate

ConnectGen is looking for a Senior Counsel – Real Estate to join our growing and dynamic team in the Houston, Texas office.  This role is responsible for overseeing, supporting, and managing all legal real estate matters and related aspects of the Company’s project development and financing activities.  This full-time role reports to the General Counsel in ConnectGen’s Legal group.

 

KEY RESPONSIBILITIES
  • Provide legal real estate counsel and services, including without limitation: land control document negotiation and preparation (e.g., access agreements, leases, purchase and sale agreements, right of way agreements, crossing agreements, surface use agreements, road use agreements, mineral waivers, etc.); legal analysis of title and survey matters and preparation of curative documentation; resolution of title insurance coverage matters.
  • Support real estate aspects of financing, M&A, and tax equity transactions.
  • Collaborate with internal subject matter experts (e.g., Development, Finance, Environmental, EPC, Origination, etc.) and ensure compliance with company policies and preferences and bankability standards in connection with real estate agreements and matters.
  • Maintain corporate records, ensure retention of complete real estate records, and provide support for compliance with real estate contractual obligations and applicable law.
  • Work with and manage outside counsel and local counsel, as necessary.
  • Other tasks and projects as assigned.

 

REQUIREMENTS
  • Ability to take a commercial, practical solution approach to the provision of legal advice, appropriately balancing risk and employing sound judgment.
  • Ability to operate in a fast-paced environment and handle a variety of projects, manage competing priorities, and coordinate multiple tasks simultaneously.
  • Self-motivated, self-disciplined.
  • Ability to think and work independently, but to be collaborative as required.
  • Ability to work with all levels of management.
  • Strong organizational, problem-solving, and analytical skills.
  • Adaptable to meet fluid and changing needs.
  • Excellent written and verbal communication skills.
  • Minimal travel (<10%).

 

EDUCATION AND EXPERIENCE
  • Top academic credentials, including a Juris Doctorate from an ABA accredited law school.
  • Admitted to practice law in at least one U.S. state, preferably Texas, New York, or California.
  • 5-7 years of real estate experience (including 2-3 years relating to renewable energy) with a large to mid-sized U.S. law firm, as in house counsel with a major project development company, or similar.
  • Strong title and survey and real estate due diligence experience.
  • Experience in real estate aspects of project finance, non-recourse debt, and tax equity investments.
  • Experience managing outside counsel preferred.
  • M&A experience a plus.
  • Ability to take a commercial, practical solution approach to the provision of legal advice, appropriately balancing risk and employing sound judgment.
